Terms & Conditions

Welcome to Alphaklick Solutions. By accessing or using our services, you agree to be bound by these Terms and Conditions (the “Agreement”). Please read them carefully before proceeding.

1. Definitions

Developer: Refers to Alphaklick Solutions, located at 79, Florence Paradise, Dholai, Jaipur, Mohanpura, Rajasthan 302020.
Client: Refers to any individual or organization entering into an agreement with the Developer for services.
Project: Refers to the agreed-upon services, including but not limited to website development, as outlined in the proposal.
Proposal: A document detailing the scope of work, deliverables, fees, and timelines agreed upon by both parties.

2. Scope of Services

Alphaklick Solutions will provide services as described in the Proposal, which forms part of this Agreement.
Any changes to the scope of the Project must be agreed upon in writing and may incur additional charges.

3. Fees and Payment Terms

Deposit: A 50% deposit is required before work commences.
Final Payment: The remaining balance is due upon completion of the Project and before deployment.
All payments must be made in full without any deductions. Late payments may result in additional charges or suspension of services.

4. Project Deliverables

Alphaklick Solutions will deliver the Project in accordance with the timeline outlined in the Proposal.
The Client is responsible for providing all necessary materials, including content, images, and branding, in a timely manner. Delays in delivery may impact timelines.
Upon completion, the Client will have 14 working days to test and review the deliverables. Any issues must be reported within this period.

5. Intellectual Property

All intellectual property rights for deliverables created by Alphaklick Solutions remain the property of Alphaklick Solutions until full payment is received.
Upon full payment, Alphaklick Solutions transfers ownership of the final deliverables to the client.
Alphaklick Solutions reserves the right to showcase completed projects in its portfolio unless otherwise agreed upon.

6. Hosting and Maintenance

If hosting services are required, additional charges may apply.
Alphaklick Solutions will not be liable for issues caused by third-party hosting providers.

7. Termination

Either party may terminate this Agreement with 30 days’ written notice.
Upon termination, the Client will pay for any completed work and materials up to the date of termination.
Alphaklick Solutions reserves the right to terminate this Agreement immediately if the Client breaches any terms or fails to make timely payments.

8. Limitation of Liability

Alphaklick Solutions will not be liable for:

Loss of data, revenue, or profits due to system failures or downtime.
Delays caused by third-party providers, unforeseen circumstances, or client-side issues.
Errors in the final deliverables if they arise from inaccurate or incomplete client-provided information.

Our maximum liability is limited to the fees paid for the specific project.

9. Confidentiality

Both parties agree to keep all proprietary and confidential information disclosed during the Project confidential.
This clause will survive the termination of the Agreement.

10. Indemnity

The Client agrees to indemnify and hold Alphaklick Solutions harmless from any claims, damages, or expenses arising from the Client’s use of the deliverables or breach of this Agreement.

11. Dispute Resolution

In the event of a dispute, both parties agree to attempt resolution through negotiation before pursuing legal action.
Any legal proceedings shall be governed by the laws of India and be subject to the jurisdiction of courts in Jaipur, Rajasthan.

12. Amendments

Alphaklick Solutions reserves the right to update these Terms and Conditions at any time. Updates will be posted on this page, and continued use of our services indicates your acceptance of the revised terms.
